Welcome to Amadat AI. These Terms of Service (“Terms”, “Agreement”) constitute a legally binding agreement between you (“User”, “Client”, or “you”) and Almasar Aldaayim for Artificial Intelligence and Communication Technologies JSC, trading as Amadat AI (“Company”, “we”, “us”, or “our”) governing your access to and use of our website, software platforms, application programming interfaces (APIs), and artificial intelligence services (collectively, the “Services”).

By accessing or using our Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you are entering into these Terms on behalf of an entity, you represent that you have the legal authority to bind that entity.

1. Description of Services

Amadat AI provides enterprise artificial intelligence solutions, machine learning dataset processing engines, automated workflow integrations, and sovereign digital infrastructure tools. The exact scope of Services provided to enterprise clients may be further detailed in individual Statements of Work (SOW) or Service Level Agreements (SLAs).

2. Eligibility & Account Registration

Minimum Age: You must be at least 18 years old or the age of legal majority in your jurisdiction to use our Services.
Account Security: You are responsible for safeguarding your access credentials (usernames, API keys, and passwords). You accept full responsibility for all activities performed under your account.
Notification: You agree to notify Amadat AI immediately at info@amadat.ai upon discovering any unauthorized access, compromised credentials, or security breaches relating to your account.

3. Acceptable Use Policy (AUP)

You agree to use our Services strictly for lawful purposes and in full compliance with applicable national and international laws. You explicitly agree not to:

Reverse Engineering: Reverse engineer, decompile, disassemble, or attempt to derive the source code, underlying algorithms, or weights of any Amadat AI proprietary models or infrastructure.
System Abuse: Transmit viruses, malware, trojans, or any malicious code designed to disrupt, damage, or gain unauthorized access to computer systems or networks.
Automated Scraping: Use automated tools, scrapers, or bots to harvest data from our platform without express written authorization.
Harmful AI Generation: Utilize our AI models or API endpoints to generate harmful, fraudulent, defamatory, hate speech, or unlawful content.
Bypassing Protections: Circumvent or disable any rate limits, security measures, or authentication protocols implemented across our platform.

4. Intellectual Property Rights & Data Ownership

4.1 Proprietary Rights

Amadat AI retains all rights, title, and interest (including all patent, copyright, trade secret, and trademark rights) in and to the Services, underlying machine learning models, system architecture, visual interfaces, and custom software pipelines.

4.2 Customer Inputs & AI Outputs

Input Ownership: As between you and Amadat AI, you retain all ownership rights in the text, images, files, or datasets you submit to our platform (“Input Data”).
Output Rights: Subject to your compliance with these Terms, Amadat AI assigns to you all its right, title, and interest in the outputs generated by the AI model specifically for you based on your Input Data (“Output Data”).
No Unconsented Model Training: We do not use your confidential Input Data or Output Data to train or improve our general-purpose base AI models without your explicit, written opt-in consent.

5. Warranties & Disclaimers

5.1 Service “As-Is”

EXCEPT AS EXPRESSLY SET FORTH IN A SEPARATE ENTERPRISE SLA, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. AMADAT AI EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

5.2 AI Output Limitations

You acknowledge that artificial intelligence systems produce probabilistic outputs. Amadat AI does not warrant that AI-generated outputs will be entirely accurate, complete, error-free, or suitable for critical operational, legal, medical, or financial decisions without independent human review.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AMADAT AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO AMADAT AI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

7. Indemnification

You agree to defend, indemnify, and hold harmless Amadat AI, its affiliates, and their respective officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your breach of these Terms, your Input Data, or your violation of any third-party rights.

8. Suspension & Termination

Termination by You: You may terminate your account and cease using our Services at any time.
Termination by Us: We reserve the right to suspend or terminate your access to the Services immediately, without prior notice, if we reasonably believe you have violated these Terms, engaged in illegal activity, or posed a security risk to our infrastructure.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without giving effect to conflict of laws principles. Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the competent courts having jurisdiction over Amadat AI’s principal location of business.
